These Terms and Conditions ("Terms") govern your access to and use of the GraceSoft PaperStack website and design system (collectively, the "Service") provided by GraceSoft ("we", "our", "us"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Acceptance of Terms

By accessing our website or using PaperStack, you confirm that you are at least 13 years old, have read and understood these Terms, and agree to be legally bound by them. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. Description of Service

PaperStack is a UI design system providing CSS styles, design tokens, and component patterns inspired by the aesthetic qualities of paper. The Service includes this website, documentation, downloadable assets, and any associated tooling distributed under its licence.

3. Licence to Use

Subject to these Terms, GraceSoft grants you a limited, non-exclusive, non-transferable, revocable licence to:

  • Access and use the website for personal and commercial purposes
  • Download, install, and integrate PaperStack in your own projects in accordance with the applicable software licence

The software itself is distributed under the terms of its open-source licence (see the project repository for details). These Terms govern use of the website and related materials, not the software licence.

4. Intellectual Property

All content on this website — including text, graphics, logos, wordmarks, design tokens, and documentation — is the property of GraceSoft or its licensors and is protected by applicable intellectual property laws.

You may not:

  • Reproduce, distribute, or create derivative works from website content without prior written permission
  • Remove or alter any copyright, trademark, or proprietary notices
  • Use GraceSoft's branding or trademarks in a way that implies endorsement without written consent

5. User Conduct

You agree not to:

  • Use the Service for any unlawful purpose or in violation of applicable laws
  • Attempt to gain unauthorised access to any part of the Service or its infrastructure
  • Transmit viruses, malware, or any code of a harmful or destructive nature
  • Scrape, harvest, or otherwise collect data from the website in an automated manner without written permission
  • Impersonate GraceSoft, our employees, or any other person or entity
  • Engage in conduct that restricts or inhibits anyone's use or enjoyment of the Service

6. Early Access Programme

During the early access period, PaperStack is provided free of charge. We reserve the right to change pricing, features, or access at any time. We will provide reasonable advance notice of significant changes to existing users.

The website may contain links to third-party websites or integrate third-party services (e.g., form providers). These links are provided for convenience only. We do not endorse, control, or assume responsibility for third-party content, privacy practices, or terms of service.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GRACESOFT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR USD $100 IF NO PAYMENTS HAVE BEEN MADE.

10. Indemnification

You agree to indemnify, defend, and hold harmless GraceSoft and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Service or your violation of these Terms.

11. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with applicable law. Any disputes arising out of or relating to these Terms or the Service shall be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration or the courts of the jurisdiction in which GraceSoft is registered, as appropriate.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the date at the top of this page. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.

13. Termination

We reserve the right to suspend or terminate your access to the Service at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our sole discretion.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and GraceSoft regarding your use of the Service and supersede all prior agreements and understandings.
